And this time, the opportunity is real, Africa&#8217;s largest refinery, Dangote Petroleum Refinery and Petrochemical FZE, is going public, and everyone can own a piece of it.  </p>
<p>Getting ready is not complicated. It just takes a few steps done in the right order, before the window opens, not during. This guide tells you exactly how to get in through InvestNaija by Chapel Hill Denham, when the offer opens on Monday, 14 September 2026. <h3>The Dangote Refinery IPO: Key Facts </h3>

<p>After the minimum of 10 shares, you can subscribe in multiples of 10. Proceeds will fund the refinery&#8217;s planned expansion from 700,000 to 1.4 million barrels per day.  </p>
<h3>First: What Exactly Is an IPO? </h3>
<p>If you haven’t read our <a href="https://learn.investnaija.com/invest-ipo-stocks-market-shares/">previous breakdown on what an IPO</a> is don’t worry here’s a refresher! An IPO (Initial Public Offering) is the moment a private company opens its doors to the public and sells shares for the very first time. When you buy shares in the Dangote Refinery IPO, you are buying a small ownership stake in Africa&#8217;s largest single-train refinery. If the company grows and delivers on its expansion plans, so does the value of your investment. </p>
<p>In Nigeria, IPOs are regulated by the Securities and Exchange Commission (SEC). The regulator approved this offer on 4 September 2026, clearing it for public subscription. Shares will be listed on the Main Board of the Nigerian Exchange (NGX) post allotment. </p>

<h4>Step 3  Get Your CSCS Number </h4>
<p>The CSCS (Central Securities Clearing System) holds and records all shares traded on the NGX. You need a CSCS account to receive your Dangote Refinery shares after allotment. If you are new to the market, InvestNaija sets it up for you. </p>

<h4>Step 4  Complete Your KYC Verification </h4>
<p>KYC (Know Your Customer) is required by the SEC for all capital market activity. It is completed entirely within the InvestNaija app. You will need your BVN, bank account details, and proof of address. </p>

<h4>Step 5  Read the Prospectus </h4>
<p>Every IPO is required by law to publish a prospectus, a document that contains everything an investor needs to know about the company before making a decision. It’s approved by the SEC before any offer opens. We know it sounds about as exciting as a plumbing manual. But this is what separates informed investors from people buying on hype. And hype, as history has shown, does not always pay out. </p>
<p>At minimum, look for: the company&#8217;s financials and revenue trend, what the money raised will be used for, the risk factors section (read it), and how the offer price compares to similar listed companies. </p>
<p>Remember:  A big name on the building does not guarantee a big return on your investment. The Dangote Refinery is an extraordinary business. Read the prospectus so your decision is based on facts, not hype. </p>

<h4>Step 6  Subscribe!</h4>
<p>When the offer opens, select the Dangote Refinery IPO banner on the Quick Actions navigation bar, select the Offer, enter the number of units you want, and complete payment using your preferred payment option on the app.  </p>
<p>💡  At ₦5,250 for the minimum 10 shares, the entry point is accessible. Decide your amount in advance so you are not making financial decisions under pressure. </p>

<h4>After You Subscribe: What to Expect </h4>
<p>Once the offer closes, the issuer and its appointed registrar, reviews all applications and determines who gets what, this is called allotment. If an IPO is oversubscribed (more applications than shares available), you may receive less than you applied for. This is normal. It means other investors wanted in too, which says something about market sentiment. You will be notified once the process is completed. </p>
<p>Once shares are credited to your CSCS account, you are a shareholder. On listing day, you can hold, sell, or buy more, all within the InvestNaija app. What happens on listing day varies: some stocks open above their offer price, others open flat or below. This is why you read the prospectus, so your decision is based on a thesis, not a feeling. </p>

<p>Here is a calculation most Nigerians rarely do. Take whatever is sitting in your savings account right now. Now ask yourself: what could that amount buy five years ago? </p>
<p>For most people, the honest answer is: considerably more. Not because they spent it. Not because the bank lost it. But because of inflation, the quiet, patient force that erodes the value of money sitting still. </p>

<p>You need a new phone. You have done your research, set your budget, and narrowed it down to two options at the same Slot or Pointek store, a Samsung A-series and a Tecno Camon, similar cameras, similar storage, similar price. The Samsung is ₦185,000. The Tecno is ₦140,000. </p>
<p>You do not just look at the price. You think about battery life, which one your friends already use, software updates, resale value in a year&#8217;s time, which brand the phone repair guy on your street knows inside out. You are not asking &#8216;is this a good phone?&#8217; You are asking &#8216;which of these two is the better deal for me right now?&#8217; </p>
<p>That is pairs analysis. And it is exactly how professional investors approach the Nigerian stock market. </p>

<p>WORD TO KNOW &#8211; Pairs Analysis: Comparing two companies in the same sector to find which offers better value at a specific moment. The goal is not to find the best company in absolute terms it is to find the better investment at the current price</p>

<h3>Every Sector Has a Pair. Every Pair Has a Better Side. </h3>
<p>In almost every sector of the Nigerian economy, there are two or more listed companies fighting for the same customers, operating under the same regulations, facing the same macroeconomic pressures. The question is never just &#8216;is this a good company?&#8217; It is: &#8216;is this a better buy than the other one sitting right next to it?&#8217; </p>

<p>Markets in the short run reward hype (attention and noise). In the long run, true value prevails. A company does not deserve to trade at twice the valuation of its nearest competitor simply because it is more talked about. Eventually, the gap closes, either because the expensive one adjusts downward, or because the undervalued one gets recognised. Either way, the investor who spotted the mispricing benefits. </p>

<p>→  Pairs analysis compares two companies in the same sector to find which is better value right now — not which is the better business in absolute terms. </p>
<p>→  In almost every Nigerian sector, there are two or more listed companies competing for the same market. The question is which one deserves your money at today&#8217;s price. </p>
<p>→  When two comparable companies have very different valuations, the market has usually mispriced one of them. That gap is where investment opportunity lives. </p>
<p>→  Markets reward enthusiasm in the short term and fundamentals in the long term. Patient investors who spot the gap and wait for it to close tend to be rewarded. </p>

<h3>Cheap Price. Or Good Value? </h3>
<p>Price and value are two very different things. Confusing them is one of the most expensive mistakes an investor can make. </p>

<p>Nigerians are some of the sharpest negotiators in the world. Walk through Balogun market, Onitsha main market, Wuse market, or any major market in the country and you will see it, the quick mental maths, the counter-offer, the walk-away that almost always brings the seller back. We know how to find value. </p>
<p>But transfer that same instinct to the stock market and something goes wrong. On the market, we see a stock at ₦8 and another at ₦500, and the ₦8 one feels like the bargain. It rarely is. </p>
<p>The difference between a cheap price and good value is the most important thing this note will teach you. </p>
<p>WORD TO KNOW &#8211; NGX: Valuation: What a company is actually worth compared to what you are paying for it. A share price tells you the cost. Valuation tells you whether that cost makes sense. Two completely different things.</p>
<p> </p>
<h3>Two Fabric Sellers. One Price That Makes Sense. </h3>
<p>Picture two fabric sellers in Balogun market. The first sits at the front of the market, surrounded by forty other sellers all competing for the same customers. If she prices too high, the next stall gets the sale. Her price is honest because the market forces it to be. </p>
<p>The second seller is tucked away at the back where foot traffic is thin. Maybe five customers a day. No competition nearby. She can charge what she likes not because her fabric is better, but because nobody is there to challenge her. Is her higher price a sign of quality? No. It is a sign that the market has not tested it. </p>
<p>This is exactly how share prices work on the NGX. Companies whose shares trade in high volumes every day have prices kept honest by thousands of buyers and sellers. Companies whose shares barely trade can stay expensive indefinitely not because the business is worth more, but because no real market exists to correct the price. </p>
<p>Here is the surprising part:  Nigeria&#8217;s largest, most recognisable companies are often the most reasonably priced. It is the small, obscure stocks, the ones that barely trade, that frequently carry the most inflated valuations. </p>
<h3>Why the &#8216;Cheap&#8217; Stock Is Often the Expensive One </h3>
<p>Think about it this way. A stock that barely trades has almost no buyers and sellers. So who sets the price? In practice, nobody, it just sits where it last traded, weeks or months ago, with no real market to challenge it. That price might look low in naira terms. But measured against what the company actually earns or owns, it can be expensive. </p>
<p>Meanwhile a stock like GTCO or Zenith Bank trades millions of units every single day. Thousands of informed investors, people who have read the accounts, done the maths, and are risking real money, are constantly agreeing on a price. That price reflects reality much more accurately. </p>
<p>Professional investors call this price discovery: the process by which a fair price is found through real buying and selling. Without it, a stock&#8217;s price is little more than a number on a screen. </p>
<p>WORD TO KNOW &#8211; Value Trap: A stock that looks cheap because the share price is low, but is actually expensive relative to what the business earns or owns. It is one of the most common traps on the NGX and one of the hardest to recover from once you are in it. The Paramount Principle  We only invest where valuation is supported by real buying and selling activity. If nobody is actively trading a stock, the price on screen tells you very little about what it is actually worth. </p>

<p>&#8220;The Nigerian market regularly misprices companies. We look for that gap, but only where the price is set by a real market, not by the absence of one.&#8221; </p>

<h3>What to Take From This Note </h3>
<p>→  A low share price does not mean a stock is cheap. Value is what you get for what you pay, not the number on the screen. </p>
<p>→  Shares that trade actively every day have honest prices, kept in check by thousands of real buyers and sellers. </p>
<p>→  Thinly traded stocks can look cheap in naira terms but be wildly expensive relative to what the business actually earns or owns. </p>
<p>→  Nigeria&#8217;s largest, most liquid companies are often the most reasonably priced, which is the opposite of what most retail investors expect. </p>
<p>→  Before you buy because a price looks low, ask yourself: is this genuinely good value, or is it just a number nobody has tested in a while? </p>
<p>The Paramount Principle  Free float is the gateway to liquidity, and liquidity is the gateway to investibility. If a company cannot pass this test, we do not invest, regardless of how attractive the business looks on paper. </p>

<h3>The Number Most Investors, Never Check Before Buying. </h3>
<p>A company can be worth hundreds of billions of naira and still be almost impossible to invest in. Here is the concept that explains why. </p>

<p>You know that feeling when you spot a shop with a beautiful display, walk in full of excitement, and the assistant tells you everything in the window is reserved or sold out? The price tags are real. The products exist. But none of it is available to you. </p>
<p>That experience has a direct equivalent in the Nigerian stock market. A company can carry a headline valuation of hundreds of billions of naira and still have very little of itself available for you to buy. Understanding why is what this note is about. </p>
<p>WORD TO KNOW &#8211; NGX: Free Float: The percentage of a company&#8217;s total shares that are genuinely available for public trading. Shares held by the founding family, a parent company, the government, or a long-term anchor investor are excluded. Free float is what is left, the slice you can actually buy and sell.</p>
<p> </p>
<h3>68% of Nigeria&#8217;s Stock Market Is Locked Away </h3>
<p>Every listed company has a certain number of shares in existence. But not all of those shares are available for public trading. Across the top 30 companies on the NGX, the average free float is approximately 32%. That means on average, 68% of each company&#8217;s shares are held by insiders and anchor investors who do not trade. </p>
<p> </p>

<p>The range is striking. Some companies on the NGX have free floats close to 99% — almost entirely in public hands with active daily trading. Others have free floats as low as 2% or 3%, meaning the shares quoted on your screen are almost never actually available to buy in any meaningful quantity.</p>
<p>Think of it like a block of flats in Ikoyi.: The developer keeps 25 units for long-term rental. A family owns another 15 and is not selling. Only 10 units are on the market. The building is worth a lot on paper, but the pool available to you is far smaller than it appears. That is free float in a nutshell. </p>
<p> </p>
<h3>What This Means When You Try to Sell </h3>
<p>Free float is not just a buying problem. It is a selling problem. And selling is where most investors discover the trap too late. </p>

<p>WORD TO KNOW &#8211; NGX: Liquidity: The ability to buy or sell shares at or near the quoted price, in a reasonable quantity, without moving the market against yourself. High liquidity means you can get in and out quickly at a fair price. Low liquidity means you may be stuck, or worse, your own selling pushes the price down before you can exit. </p>
<p> </p>
<p>Free float and liquidity move together almost perfectly on the NGX, the correlation between the two is approximately 92%. This is not a coincidence. If only a small proportion of a company&#8217;s shares can be traded, daily transaction volumes in those shares will naturally be small. The price you see on your screen for a low-free-float stock may not be the price you can actually transact at. </p>
<p>The Paramount Principle  Free float is the gateway to liquidity, and liquidity is the gateway to investibility. If a company cannot pass this test, we do not invest, regardless of how attractive the business looks on paper. </p>

<h3>The Reordering Nobody Talks About </h3>
<p>Here is something that will change how you look at the Nigerian stock market. When you rank NGX companies by headline market cap, the top names are well known. When you re-rank them by free float-adjusted market cap, that is what is actually investible, the order changes significantly. </p>
<p>The three largest companies by headline market cap rank third, eighth and eleventh once adjusted for free float. The businesses most often cited as Nigeria&#8217;s biggest are not necessarily the most accessible or the most investible. And in investing, accessibility is everything. </p>

<h3>Bigger Isn&#8217;t Always Better. But Size Matters. </h3>
<p>What professional investors look at before they buy a stock and why the share price is almost never the first thing they check. </p>

<p>Picture two businesses. The first is the provision store in your neighbourhood, the kind that knows your name, lets you buy on credit, and has been there fifteen years. The second is a company like Justrite or Ebeano: hundreds of staff, branches in multiple states, millions of customers every month. Both are real businesses. Both have loyal customers. But if the economy tightens and people pull back on spending, which one do you think weathers it better? </p>
<p>Most people instinctively pick the larger one. And they are right. That same instinct is exactly where professional investors start when they look at the stock market (NGX). </p>
<p>Nigeria&#8217;s stock market has a total value of approximately $116.98 billion. That is an impressive number it makes the NGX one of the largest equity markets in sub-Saharan Africa. But if you stop at the headline, you will miss the reality underneath it. </p>
<p>WORD TO KNOW &#8211; NGX: Nigerian Exchange Group — Nigeria&#8217;s main stock exchange where shares of listed companies are bought and sold. Also called the Nigerian Exchange or the stock market. </p>

<h3>What &#8216;Size&#8217; Actually Means on the Stock Market </h3>
<p>When investors talk about the size of a listed company, they are not talking about the number of employees or the size of the head office. They are talking about Market Capitalisation, usually shortened to market cap. Take the share price and multiply it by the total number of shares in existence. The result tells you what the market believes the entire company is worth today. </p>
<p>WORD TO KNOW &#8211; Market Capitalisation (Market Cap): The total value of a company as priced by the stock market. If a company has 500 million shares and each share costs ₦200, the market cap is ₦100 billion. Think of it as the market&#8217;s answer to the question: what is this entire business worth right now? It is a measure of scale, not quality. </p>
<p>The important thing to understand is that market cap is not the same as profit, revenue, or how well the company is actually run. It is a measure of scale. A starting point, not a verdict. </p>

<h3>A Surprising Fact About the Nigerian Stock Market </h3>
<p>Most people assume the NGX is a fairly level playing field. Around 130 companies listed, all contributing their share to the market. The reality is very different. </p>
<p>70% of the NGX&#8217;s total value is held by just 10 companies The bottom 100 companies share less than 5% of the total FIGURE 1: Market Capitalisation &#8211; all companies are not equal </p>
<p>Think about what that means. One in ten companies, not even a full handful, controls the vast majority of the market. The bottom hundred companies, by contrast, share less than 5% between them. </p>
<p>Think of it like Oshodi market. Hundreds of traders, but a handful control the prime spots at the entrance, run the biggest stalls, and do the majority of the daily turnover. The rest are further back, smaller, and see far less traffic. The NGX is structured the same way. Knowing which stalls are at the front is half the battle. </p>

<h3>Why Larger Companies Tend to Hold Up Better </h3>
<p>Nigeria&#8217;s economy moves in cycles that most Nigerians know intimately. Fuel subsidy removal. Naira devaluation. Interest rates climbing. Inflation eating into purchasing power. These events do not discriminate between large companies and small ones, but they do not hit them equally either.  </p>
<p>Better access to funding: when banks tighten lending, large companies still have options. They can issue bonds, raise equity, or negotiate facilities that smaller businesses simply cannot access.  </p>
<p>Resilience when things get hard: A large company with deep reserves and a diversified customer base can absorb a difficult quarter without collapsing. A smaller company may not survive it. For investors, that staying power protects your capital. </p>
<p>More experienced management: Companies that have grown to scale generally have leadership teams that have navigated at least one crisis, one regulatory shift, one competitive threat.  </p>
<p>Shares that actually trade: This is the one most retail investors miss. Larger companies tend to have more of their shares available to buy and sell in the open market. We go deeper on this concept called free float in the next note.  </p>

<h3>But Bigger Does Not Automatically Mean Better </h3>
<p>Here is where we need to be straight with you. Size is the starting point of our analysis at the Paramount Fund (Equity), not the conclusion. A large company is not automatically a good investment. A small company is not automatically a bad one. </p>
<p>What size does is narrow the field. Think of it like house hunting in Lagos. Before you start visiting properties, you decide which areas are worth your attention: Ogudu, Gbagada, Maryland, Ikeja GRA, Island (Victoria Island, Lekki, Ikoyi), maybe Surulere. You are not saying those neighbourhoods guarantee a good deal. You are saying they meet a minimum threshold worth your attention. Size does exactly that for stocks. It sets the neighbourhood. </p>
<p>FROM THE FUND MANAGER: &#8220;Size doesn&#8217;t determine whether we invest. It helps determine where we start looking. It is the filter before the filter.&#8221; </p>
<h3>The Share Price Trap Most Investors Fall Into </h3>
<p>Before your next trade, consider this: a ₦500 share is not more expensive than a ₦20 share in any meaningful sense. The price per share on its own tells you almost nothing. What matters is the size and quality of the whole business behind it. </p>
<p>WORD TO KNOW- The NGX 30: The thirty largest and most liquid companies on the Nigerian Exchange. Used as a benchmark a way to measure whether an investment is doing better or worse than Nigeria&#8217;s top companies overall. </p>
<p>Imagine two properties in Lagos. One is listed at ₦25 million in Ikorodu. The other is ₦250 million on the Island. Can you say which one is the better deal just from the price? Of course not. You need to know the size, location, condition, and rental income. Only then does price mean anything. Stocks work exactly the same way. The price you see on screen is just the starting point. What matters is the value underneath it. </p>
<p>The Paramount Principle: We begin every investment decision with size. Not because large companies are automatically great investments, but because their scale gives us a foundation from which to assess everything else. </p>

<h3>What to Take From This Note </h3>
<p>➡️ Market cap is the total value the market assigns to a company. It is a measure of scale, not quality. </p>
<p>➡️ Ten companies account for roughly 70% of the NGX&#8217;s total value. The exchange is far more concentrated than most people realise. </p>
<p>➡️ Large companies have real structural advantages: better funding access, stronger resilience, and shares that actually trade. </p>
<p>➡️ Size is the starting point of professional analysis, not the conclusion. It narrows the field. It does not make the decision. </p>
<p>➡️ A ₦500 share is not more expensive than a ₦20 share. Share price alone is one of the most misleading numbers in investing. </p>

None of those reasons tell you whether the company is actually worth owning.<br />
Here is something worth sitting with: most people spend more time choosing a new phone than they spend researching where to put their money. We compare specs, read reviews, ask around, visit the shop. Then we wire ₦500,000 into a stock because someone in a WhatsApp group seemed confident about it.<br />

<p>Here is the thing most investment adverts will not tell you: professional fund managers do not know what the market will do tomorrow. Nobody does. Can you actually buy and sell the shares easily?A company can look valuable on paper but if its shares barely trade, you could find yourself stuck holding something you cannot exit. We will come back to this one in detail because it catches a lot of investors off guard.<br />
Is there enough daily trading activity?This is about flexibility. Markets move. Life happens. You need to be able to act when you want to, not when the market allows you to.<br />
Is the company attractively priced?Even a brilliant business can be a bad investment if you pay too much for it. Price discipline is what separates investors who do well from investors who merely own good companies at the wrong cost.<br />
Is it better value than its closest competitor?The best investment is not always the most famous company in a sector. Sometimes the second name on the list is the smarter buy at that moment. We always compare before we commit.</p>

<p>A stock at ₦20 feels cheaper than a stock at ₦500. That feeling is almost always misleading.<br />

You need to know the size, location, condition, rental income, and whether the seller is motivated. Only then does price mean anything.<br />
